AGE RESTRICTION: You may not use of engage with the Platform if you are under thirteen (13) years of age. If you use or engage with the Platform and are between the ages of thirteen (13) and eighteen (18) years of age, you must have your parent’s or legal guardian’s permission to do so. By using or engaging with the Platform, you acknowledge and agree that you are not under the age of thirteen (13) years, are between the ages of thirteen (13) and eighteen (18) and have your parent’s or legal guardian’s permission to use or engage with the Platform, or are of adult age in your jurisdiction. By using or engaging with the Platform, you also acknowledge and agree that you are permitted by your jurisdiction’s Applicable Law to use and/or engage with the Platform.

PROHIBITED CONTENT: You acknowledge and agree to not send any prohibited content over the Platform. Prohibited content includes:

– Any fraudulent, libelous, defamatory, scandalous, threatening, harassing, or stalking activity;

– Objectionable content, including profanity, obscenity, lasciviousness, violence, bigotry, hatred, and discrimination on the basis of race, sex, religion, nationality, disability, sexual orientation, or age;

– Pirated computer programs, viruses, worms, Trojan horses, or other harmful code;

– Any product, service, or promotion that is unlawful where such product, service, or promotion thereof is received;

– Any content that implicates and/or references personal health information that is protected by the Health Insurance Portability and Accountability Act (“HIPAA”) or the Health Information Technology for Economic and Clinical Health Act (“HITEC” Act); and

– Any other content that is prohibited by Applicable Law in the jurisdiction from which the message is sent.

Dispute Resolution: In the event that there is a dispute, claim, or controversy between you and Us, or any other third-party service provider acting on Our behalf to transmit the mobile messages within the scope of the Program, arising out of or relating to federal or state statutory claims, common law claims, this Agreement, or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, such dispute, claim, or controversy will be, to the fullest extent permitted by law.

The parties agree to submit the dispute to binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) then in effect. Except as otherwise provided herein, the arbitrator shall apply the substantive laws of the Federal Judicial Circuit in which souqmarine.com’s principle place of business is located, without regard to its conflict of laws rules. Within ten (10) calendar days after the arbitration demand is served upon a party, the parties must jointly select an arbitrator with at least five years’ experience in that capacity and who has knowledge of and experience with the subject matter of the dispute. If the parties do not agree on an arbitrator within ten (10) calendar days, a party may petition the AAA to appoint an arbitrator, who must satisfy the same experience requirement. In the event of a dispute, the arbitrator shall decide the enforceability and interpretation of this arbitration agreement in accordance with the Federal Arbitration Act (“FAA”). The parties also agree that the AAA’s rules governing Emergency Measures of Protection shall apply in lieu of seeking emergency injunctive relief from a court. The decision of the arbitrator shall be final and binding, and no party shall have rights of appeal except for those provided in section 10 of the FAA. Each party shall bear its share of the fees paid for the arbitrator and the administration of the arbitration; however, the arbitrator shall have the power to order one party to pay all or any portion of such fees as part of a well-reasoned decision. The parties agree that the arbitrator shall have the authority to award attorneys’ fees only to the extent expressly authorized by statute or contract. The arbitrator shall have no authority to award punitive damages and each party hereby waives any right to seek or recover punitive damages with respect to any dispute resolved by arbitration. The parties agree to arbitrate solely on an individual basis, and this agreement does not permit class arbitration or any claims brought as a plaintiff or class member in any class or representative arbitration proceeding. Except as may be required by law, neither a party nor the arbitrator may disclose the existence, content, or results of any arbitration without the prior written consent of both parties, unless to protect or pursue a legal right. If any term or provision of this Section is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Section or invalidate or render unenforceable such term or provision in any other jurisdiction. If for any reason a dispute proceeds in court rather than in arbitration, the parties hereby waive any right to a jury trial. This arbitration provision shall survive any cancellation or termination of your agreement to participate in any of our Programs.

Miscellaneous: You warrant and represent to Us that you have all necessary rights, power, and authority to agree to these Terms and perform your obligations hereunder, and nothing contained in this Agreement or in the performance of such obligations will place you in breach of any other contract or obligation. The failure of either party to exercise in any respect any right provided for herein will not be deemed a waiver of any further rights hereunder. If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable. Any new features, changes, updates or improvements of the Program shall be subject to this Agreement unless explicitly stated otherwise in writing. We reserve the right to change this Agreement from time to time. Any updates to this Agreement shall be communicated to you. You acknowledge your responsibility to review this Agreement from time to time and to be aware of any such changes. By continuing to participate in the Program after any such changes, you accept this Agreement, as modified.

CONTENT
1- Vendors will post only products that allowed legally and as per the products list they provided to souqmarine.com management. Vendors will not post, upload, publish, submit or transmit any Member Content that: (i) is fraudulent, false, misleading (directly or by omission or failure to update information) or deceptive; (ii) is defamatory, libelous, obscene, pornographic, vulgar or offensive; (iii) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (iv) is violent or threatening or promotes violence or actions that are threatening to any other person or animal; (v) promotes illegal or harmful activities or substances; or (vi) violates souqmarine.com’s Content Policy or any other souqmarine.com policy. souqmarine.com may, without prior notice, remove or disable access to any Member Content that souqmarine.com finds to be in violation of applicable law, these Terms or souqmarine.com’s then-current Policies or Standards, or otherwise may be harmful or objectionable to souqmarine.com, its Members, third parties, or property.

2- You will not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the souqmarine.com Platform or Collective Content, except to the extent you are the legal owner of certain Member Content or as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by souqmarine.com or its licensors, except for the licenses and rights expressly granted in these Terms.

TERMS FOR VENDORS
1 When creating a Listing through the souqmarine.com Platform you must (i) provide complete and accurate information about your products and availability, you are responsible for keeping your Listing information (including calendar availability) up-to-date at all times.

2 You are solely responsible for setting a price for your Listing (“Listing Fee”). Once a Buyer requests a buying of your Listing, you may not request that the Buyer pays a higher price than in the buying request.

3 When you accept or have pre-approved a buying request by a Buyer, you are entering into a legally binding agreement with the Buyer and are required to fulfill the order and update souqmarine.com with the shipment tracking number.

4 When creating a Listing through the souqmarine.com Platform you must accept to ship the orders as per listed, if you accepted anything else to ship you are taking 100% responsibility and you will be considered that you are violating souqmarine.com rules, and souqmarine.com have the right to cancel your account.

TERMS FOR BUYERS
1 Buyers can buy a Listing available on the souqmarine.com Platform by following the respective buying process. All applicable fees, including the Listing Fee, Taxes (collectively, “Total Fees”) will be presented to you prior to buying a Listing. You agree to pay the Total Fees for any buying requested in connection with your souqmarine.com Account.

2 Upon receipt of a buying confirmation from souqmarine.com, a legally binding agreement is formed between you and your Vendor, subject to any additional terms and conditions of the Vendor that apply, including in particular the applicable cancellation policy and any rules and restrictions specified in the Listing. souqmarine.com Payments will collect the Total Fees at the time of the buying request or upon the Vendor’s confirmation pursuant to the Payments Terms.

buying Modifications, Cancellations and Refunds
1 Vendor and Buyer are responsible for any modifications to a buying that they make via the souqmarine.com Platform or direct souqmarine.com customer service to make (“buying Modifications”), and agree to pay any additional Listing Fees, Vendor Fees or Buyer Fees and/or Taxes associated with such buying Modifications.

2 If a Buyer requests a cancelation/refund to a confirmed buying, please refer to the return policy.

3 If a Vendor cancels a confirmed order, souqmarine.com may publish an automated review on the Listing cancelled by the Vendor indicating that a buying was cancelled. In addition, souqmarine.com may (i) keep the calendar for the Listing unavailable or blocked for the dates of the cancelled buying, and/or (ii) impose a cancellation fee, unless the Vendor has a valid reason for cancelling the buying pursuant to souqmarine.com’s Extenuating Circumstances Policy or has legitimate concerns about the Buyer’s behavior.

4 In certain circumstances, souqmarine.com may decide, in its sole discretion, that it is necessary to cancel a pending or confirmed buying and initiate corresponding refunds and payouts. This may be for reasons set forth in souqmarine.com’s Extenuating Circumstances Policy or (i) where souqmarine.com believes in good faith, while taking the legitimate interests of both parties into account, this is necessary to avoid significant harm to souqmarine.com, other Members, third parties or property, or (ii) for any of the reasons set out in these Terms.
